Clause wording: You shall at all times keep the [Managing Director/Board of Directors] of the Company promptly and fully informed (in writing if so requested) of your conduct of the business, finances or affairs of the business for which you are responsible and you shall provide such explanations and supply such information in your possession as the Company may require in connection with your conduct of the business, finances or affairs of the business.

When to use this document

Use this clause when you want to make it clear that, in addition to any duties narrated in a job description the director has a specific obligation to keep his fellow directors informed about what is going on in the business.
