Background

(A) WHEREAS, each party has developed certain technical or business information related to its respective products or product plans which is confidential and proprietary information; and

(B) WHEREAS, the parties, for their mutual benefit, desire to disclose to each other the Confidential Information defined below in connection with discussions between their authorised representatives for the purpose of exploring a potential business relationship between the parties.
